Terms of Use & Community Rules

The terms for UBITS.tech and its services, including Modu. Section 2 is a plain-English summary; section 34 adds the terms specific to Modu.

1. Who we are

These Terms of Use (“Terms”) govern your use of the UBITS.tech website, online community, software, features, content and related services, including Modu (together, the “Services”).

The Services are operated by:

In these Terms, “UBITS”, “we”, “us” and “our” mean UBITS LIMITED.

2. Plain-English summary

The short version is:

  • You may use UBITS to communicate, participate in community activities, use available chat and voice features, play games, join events and use other features made available by us.
  • You are responsible for what you do and what you post.
  • Treat other people respectfully.
  • Do not harass, threaten, scam, impersonate, exploit or deliberately harm other users.
  • Do not upload illegal, abusive, discriminatory, sexually exploitative, malicious or infringing material.
  • Do not publish somebody else's private information without a lawful basis.
  • Do not hack, scrape, disrupt, reverse engineer or abuse the Services.
  • You keep ownership of content you create, subject to the licence needed for UBITS to operate the Services.
  • We may remove content or restrict accounts where necessary to enforce these Terms, protect users, comply with law or protect the Services.
  • If we use AI features, additional AI transparency rules may apply.
  • Our Privacy Notice explains how we process personal information.
  • Our Cookie Notice explains cookies and similar technologies.
  • You retain any mandatory consumer rights that cannot legally be excluded.
  • We encourage you to contact us first if you have a complaint.

3. Acceptance

By accessing or using the Services, you agree to these Terms.

If you do not agree with these Terms, you must not use the Services.

If you are using the Services on behalf of an organisation, you confirm that you have authority to bind that organisation.

4. Eligibility and age requirements

You must be legally capable of entering into these Terms.

Where you are under 18, you must comply with any applicable age requirements and obtain parental or guardian consent where required by law.

Certain Services or features may have additional age restrictions.

UBITS may introduce age-assurance or age-verification measures where reasonably necessary to comply with law or protect users.

You must not falsely state your age.

5. The Services

Depending on availability, UBITS may provide:

  • online community spaces;
  • user profiles;
  • text chat;
  • voice chat;
  • gaming and entertainment activities;
  • community events;
  • giveaways and competitions;
  • user-generated content;
  • moderation and reporting functionality;
  • AI-powered or automated features;
  • links or integrations with third-party services; and
  • other features introduced from time to time.

Features may change, be suspended or be discontinued.

We do not guarantee that every feature will always be available.

6. Your account

Where registration is required, you must provide accurate information.

You are responsible for:

  • keeping your login credentials secure;
  • not sharing your account with another person;
  • notifying us if you believe your account has been compromised; and
  • activity carried out through your account, except where applicable law provides otherwise.

We may require additional verification where reasonably necessary for security, fraud prevention, age assurance or legal compliance.

7. Acceptable use

You may use the Services for their intended purpose.

You must:

  • comply with applicable laws;
  • follow these Terms;
  • respect other users;
  • respect intellectual-property rights;
  • respect privacy and confidentiality;
  • follow reasonable instructions from moderators;
  • use the reporting mechanisms responsibly; and
  • avoid conduct that materially disrupts the community or Services.

8. Prohibited behaviour

You must not:

Harm or abuse people

  • threaten, stalk, harass, bully or intimidate others;
  • encourage suicide, serious self-harm or violence;
  • promote terrorism or violent extremism;
  • discriminate against people or groups;
  • engage in hate speech;
  • sexually exploit or endanger children;
  • distribute non-consensual intimate imagery; or
  • encourage others to commit crimes.

Fraud and deception

You must not:

  • scam users;
  • conduct phishing;
  • impersonate another person or organisation;
  • misrepresent your identity for fraudulent purposes;
  • manipulate giveaways or competitions;
  • steal accounts;
  • solicit passwords or authentication codes; or
  • use UBITS to facilitate financial crime.

Privacy

You must not:

  • publish another person's private information without lawful authority;
  • dox another user;
  • publish confidential information;
  • record or distribute private communications without appropriate authority or consent; or
  • use personal information obtained through UBITS for harassment, stalking or unlawful purposes.

Security and technical abuse

You must not:

  • hack or attempt to hack the Services;
  • bypass access controls;
  • interfere with security systems;
  • deploy malware;
  • introduce viruses or malicious code;
  • conduct denial-of-service attacks;
  • exploit vulnerabilities for malicious purposes;
  • use bots or automated systems to abuse the Services;
  • scrape or harvest information without permission; or
  • reverse engineer the Services except where applicable law expressly permits it.

Intellectual property

You must not upload or distribute content that infringes copyright, trade marks, database rights, privacy rights, publicity rights or other legal rights.

9. Community standards

UBITS is intended to be a community environment.

Users should:

  • disagree respectfully;
  • avoid targeted harassment;
  • avoid deliberately provoking or humiliating others;
  • respect moderators;
  • avoid spam;
  • avoid unwanted sexual or romantic solicitation;
  • respect reasonable boundaries; and
  • report serious misconduct rather than retaliating.

Moderators may intervene where behaviour creates a material risk to users or the community.

10. User-generated content

You may be able to submit text, images, audio, video, links, comments, messages and other content (“User Content”).

You remain responsible for your User Content.

You confirm that:

  • you have the rights necessary to submit it;
  • it does not unlawfully infringe another person's rights;
  • it does not contain unlawful material;
  • you have appropriate consent for identifiable people appearing in the content where required; and
  • it complies with these Terms.

11. Licence to UBITS

You retain ownership of your User Content.

By submitting User Content, you grant UBITS a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, transmit, distribute and technically modify the content where reasonably necessary to operate, secure, moderate, maintain, improve or promote the Services.

This licence does not transfer ownership of your User Content to UBITS.

You must not submit material for which you do not have the necessary rights.

12. Moderation

We may:

  • review content;
  • restrict content;
  • remove content;
  • limit visibility;
  • suspend features;
  • suspend accounts; or
  • terminate accounts.

We may do this where reasonably necessary because of:

  • a breach of these Terms;
  • suspected unlawful activity;
  • safety concerns;
  • security concerns;
  • intellectual-property complaints;
  • legal obligations;
  • fraud prevention;
  • platform integrity; or
  • material risk to users or the Services.

Where appropriate, we will take proportionate action.

13. Content decisions and appeals

Where your content is removed or your account is restricted, we will provide an explanation where reasonably practicable and legally permissible.

You may request a review by contacting:

Your appeal should identify:

  • the relevant account or content;
  • the decision being challenged;
  • why you believe it was incorrect; and
  • any relevant supporting information.

We will review appeals in accordance with our moderation procedures.

Where EU Digital Services Act requirements apply, UBITS will provide the additional complaint and redress mechanisms required by that legislation.

14. Reporting illegal content

Illegal or seriously harmful content should be reported through:

modu.ubits.tech/report

Reports should contain enough information to allow us to identify the relevant content.

Where required by applicable law, UBITS will maintain appropriate notice-and-action and complaints processes.

15. EU Digital Services Act

Where UBITS provides an intermediary or online-platform service within the scope of Regulation (EU) 2022/2065 (Digital Services Act), UBITS will comply with the obligations applicable to its size and service category.

Depending on the nature and scale of the Services, this may include:

  • terms explaining content restrictions;
  • mechanisms for reporting illegal content;
  • explanations of moderation decisions;
  • internal complaint mechanisms;
  • out-of-court dispute-settlement rights where applicable;
  • transparency information;
  • advertising disclosures where applicable; and
  • other obligations applicable to online platforms.

Nothing in these Terms limits rights granted to EU users by the DSA.

16. UK Online Safety Act

Where UBITS is a regulated service under the UK Online Safety Act 2023, we will maintain appropriate systems and processes for the duties applicable to the Services.

These may include measures concerning:

  • illegal content;
  • child safety;
  • content reporting;
  • complaints;
  • moderation;
  • risk assessment;
  • record keeping;
  • transparency; and
  • appropriate governance.

We may update our systems and these Terms as regulatory requirements develop.

17. Artificial intelligence

UBITS may use artificial intelligence or automated systems for features such as:

  • moderation;
  • recommendations;
  • support;
  • content generation;
  • search;
  • personalisation;
  • fraud detection; or
  • other functionality.

AI-generated material may contain errors and should not automatically be treated as fact.

Where required by applicable law, we will provide appropriate disclosure that users are interacting with an AI system or encountering AI-generated or manipulated content.

Where the EU AI Act applies, UBITS will comply with the provisions applicable to its role as provider, deployer, distributor or other regulated actor.

18. EU AI Act transparency

Where Article 50 of Regulation (EU) 2024/1689 applies, UBITS will take appropriate measures to:

  • inform users where they directly interact with an AI system;
  • identify or appropriately disclose AI-generated or manipulated content where required;
  • provide required disclosure for relevant deepfakes;
  • provide required disclosure for qualifying AI-generated public-interest text;
  • provide required information concerning emotion-recognition or biometric categorisation systems where applicable; and
  • maintain appropriate technical measures for machine-readable marking or detection where required.

UBITS will not describe an AI system as human where doing so would breach applicable transparency requirements.

19. Intellectual property

UBITS and its licensors retain all rights in:

  • the UBITS name;
  • trade marks;
  • logos;
  • website design;
  • software;
  • source code;
  • graphics;
  • databases;
  • platform architecture;
  • documentation;
  • original UBITS content; and
  • other proprietary material.

You receive only the limited right necessary to use the Services in accordance with these Terms.

You must not commercially exploit UBITS intellectual property without permission.

20. Intellectual-property complaints

IP complaints should be sent to:

Please provide:

  • your identity and contact information;
  • details of the right concerned;
  • the relevant material;
  • the location of the material;
  • the reason for the complaint; and
  • evidence supporting your claim where available.

We may remove or restrict material while investigating.

21. Third-party services

UBITS may integrate with or link to third-party services.

Those services may have their own:

  • terms;
  • privacy policies;
  • age restrictions;
  • payment terms; and
  • content rules.

UBITS is not responsible for third-party services that it does not control.

22. Giveaways and competitions

Additional rules may apply to giveaways, competitions and promotions.

Those rules will form part of these Terms where expressly stated.

We may disqualify entries that are fraudulent, automated, abusive or otherwise in breach of the relevant rules.

24. Availability

We aim to provide reliable Services but cannot guarantee uninterrupted availability.

The Services may be unavailable because of:

  • maintenance;
  • upgrades;
  • security incidents;
  • technical failures;
  • third-party failures;
  • network problems;
  • legal requirements; or
  • circumstances beyond our reasonable control.

25. Disclaimers

Community content is created by users and does not necessarily represent UBITS's views.

UBITS does not guarantee the accuracy, completeness or reliability of User Content.

You should independently verify information before relying upon it where the consequences of error could be significant.

26. Limitation of liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded.

This includes, where applicable:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • liability arising from mandatory consumer protections; and
  • other liability that applicable law prohibits us from excluding.

For consumers, statutory rights remain unaffected.

To the maximum extent permitted by law, UBITS will not be liable for indirect or consequential loss, loss of profits, loss of business opportunity or similar losses.

For business users, UBITS's aggregate liability arising from the Services will not exceed the greater of:

  • £500; or
  • the amount paid by the business to UBITS for the relevant Services during the 12 months preceding the event giving rise to the claim.

This limitation does not apply where applicable law prohibits it.

27. Suspension and termination

We may suspend or terminate an account where reasonably necessary to:

  • enforce these Terms;
  • comply with law;
  • protect users;
  • prevent fraud;
  • protect the Services;
  • address serious misconduct; or
  • respond to security risks.

Where appropriate, we will give notice and an opportunity to remedy a breach.

28. Changes to the Terms

We may update these Terms to reflect:

  • changes to the Services;
  • legal requirements;
  • regulatory requirements;
  • security measures; or
  • changes in business operations.

Material changes will be brought to users' attention where reasonably practicable.

29. Complaints

Complaints should first be sent to:

We aim to acknowledge complaints within a reasonable period and provide a substantive response within 30 days where practicable.

Nothing prevents you from exercising a statutory right to complain to a regulator or bring legal proceedings.

30. Dispute resolution

We encourage informal resolution first.

If a dispute cannot be resolved informally, it may be referred to mediation or another appropriate alternative dispute-resolution process where both parties agree or where required by law.

For business users, these Terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.

For consumers, mandatory rights concerning applicable jurisdiction and consumer protection remain unaffected.

31. Governing law

These Terms are governed by the laws of England and Wales, subject to mandatory consumer protections applicable in the jurisdiction where you live.

32. Severability

If any provision is found invalid or unenforceable, the remaining provisions continue to apply.

34. Additional terms for Modu

Modu is a UBITS service that manages Discord servers on your instructions. These additional terms apply when you use it, alongside sections 1 to 33.

Servers you connect

  • You may only connect Discord servers you are authorised to administer.
  • You must use Modu in line with Discord's Terms of Service and Community Guidelines. Modu is not affiliated with or endorsed by Discord Inc.
  • You are responsible for the changes you instruct and approve, and for how your server is run.

How the agent acts

  • The agent acts on the instructions you give and the plans you approve, within the permissions you grant the bot.
  • Destructive operations require your explicit approval before they run. Reversible operations can be undone; deletions made in Discord are permanent.
  • The agent is an AI system and can make mistakes (see sections 17 and 18). Review each plan before approving it.

Plans and billing

  • Paid plans are billed monthly in advance through Stripe. You can change or cancel at any time, and access continues until the end of the current paid period.
  • We do not provide pro-rated refunds for partial periods, except where required by law. Your statutory rights under section 23 are unaffected.
  • Usage limits for each plan are shown on the pricing page and in your account.
